Platinum & Partners is a specialist recruitment agency focusing on front office financial services roles. Our Services include: - Job board with vacancy listings and detailed job descriptions - Candidate registration, profile creation and management - Job application submission and tracking system - Career resources, industry insights and market intelligence - Job alert notifications and personalized recommendations - Employer recruitment solutions and candidate sourcing - Interview coordination and placement services We act as an intermediary between job seekers (candidates) and employers (clients). We do not guarantee employment, job placement, interview opportunities or successful outcomes through our Services. We are not the employer and are not responsible for employment decisions, hiring practices or employment relationships. We reserve the right to modify, suspend or discontinue any aspect of our Services at any time without notice or liability.

3. User Registration and Accounts

To access certain features of our Services, you must register for an account. When creating an account, you agree to: - Provide accurate, current, complete and truthful information - Maintain and promptly update your account information to keep it accurate - Maintain the security and confidentiality of your password and account credentials - Accept full responsibility for all activities that occur under your account - Notify us immediately of any unauthorized use or security breach - Not share your account with others or allow others to access your account - Not create multiple accounts or create accounts using false identities You are solely responsible for safeguarding your account credentials. We are not liable for any loss, damage or liability arising from your failure to protect your account information or from unauthorized access to your account. We reserve the right to suspend, terminate, refuse or delete accounts at any time for any reason, including violation of these Terms, suspicious activity, fraudulent behavior or for any other reason at our sole discretion, without notice or liability. You may not use our Services if you are under 16 years of age.

4. Candidate Obligations

As a candidate using our Services, you represent, warrant and agree to: - Provide truthful, accurate and complete information in your profile, CV, resume and all applications - Not misrepresent your qualifications, experience, employment history, education or skills - Not provide false references or misleading information - Respond promptly to communications regarding job opportunities and interviews - Attend scheduled interviews and meetings unless unavoidable circumstances arise, providing reasonable notice of cancellation - Notify us immediately if you accept employment through our Services or elsewhere - Not use our Services for any unlawful, fraudulent or unauthorized purpose - Respect the confidentiality of information shared during the recruitment process - Not solicit employers to bypass our recruitment services - Comply with all applicable laws and regulations False, misleading or fraudulent information may result in immediate rejection of applications, termination of your account, legal action and reporting to relevant authorities. You acknowledge that we may conduct background checks, reference checks and verification of qualifications with your consent.

5. Employer Obligations

Employers and clients using our Services represent, warrant and agree to: - Provide accurate, complete and truthful job descriptions and requirements - Comply with all applicable employment laws, regulations and anti-discrimination legislation - Not discriminate on the basis of protected characteristics including race, gender, age, disability, religion, sexual orientation or any other protected status - Treat candidates fairly, professionally and respectfully throughout the recruitment process - Provide timely feedback on applications, interviews and hiring decisions - Pay agreed fees for successful placements in accordance with service agreements - Maintain confidentiality of candidate information and use it only for legitimate recruitment purposes - Not directly contact or hire candidates for other positions without our prior written agreement during the protection period specified in service agreements - Not engage in fraudulent or deceptive practices - Comply with right to work verification and other legal requirements Employers must ensure all job postings comply with legal requirements and do not contain discriminatory, misleading, fraudulent or illegal content. Separate service agreements govern the commercial relationship between Platinum & Partners and employer clients, including fees, payment terms and guarantees.

6. Intellectual Property Rights

All content, materials and intellectual property on our website and Services, including but not limited to text, graphics, logos, images, photographs, videos, software, code, design, compilation and data, is the exclusive property of Platinum & Partners or its licensors and is protected by intellectual property laws including copyright, trademark and database rights. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended personal or business purpose only. You may not: - Reproduce, distribute, modify, create derivative works or publicly display our content without written permission - Use our content for commercial purposes without authorization - Remove, alter or obscure any copyright, trademark or other proprietary notices - Use automated systems, robots, scrapers or data mining tools to access, extract or collect data from our Services - Reverse engineer, decompile or attempt to extract source code from our Services - Frame, mirror or replicate any part of our Services - Use our trademarks, service marks or branding without permission Candidates retain ownership of their submitted CVs, resumes and application materials but grant us a non-exclusive, worldwide, royalty-free license to use, store, reproduce and share this information for recruitment purposes, including sharing with employer clients and storing in our database. Employers retain ownership of job descriptions and company information but grant us license to display and promote these on our platform. Any feedback, suggestions or ideas you provide about our Services become our property and may be used without compensation or attribution.

7. User Content and Conduct

You are solely responsible for any content you submit, upload or transmit through our Services, including CVs, cover letters, messages, comments and any other materials. You represent and warrant that: - You own or have necessary rights to use and grant licenses for any content you submit - Your content does not violate any laws, regulations or third-party rights including intellectual property, privacy or data protection rights - Your content does not contain viruses, malware, harmful code or malicious software - Your content is not defamatory, obscene, offensive, discriminatory or inappropriate We reserve the right to monitor, review, edit, remove or refuse any content that violates these Terms, is otherwise objectionable or for any other reason, at our sole discretion and without notice or liability. You agree not to: - Use our Services to harass, abuse, threaten, harm or impersonate others - Post false, misleading, defamatory, discriminatory or illegal content - Send spam, unsolicited communications or engage in phishing - Interfere with or disrupt the proper functioning of our Services or servers - Attempt to gain unauthorized access to our systems, accounts or networks - Violate any applicable local, national or international laws or regulations - Engage in any activity that could damage, disable or impair our Services - Use our Services to compete with us or for any commercial purpose without authorization - Collect or harvest personal information of other users - Circumvent security features or access restrictions Violation of these restrictions may result in immediate termination of your account and legal action.

8. Fees and Payments

Use of our Services by candidates is free of charge for standard features. We reserve the right to introduce fees for premium features or services with reasonable advance notice. Employers and clients are subject to fees as specified in separate written service agreements. Payment terms include: - Fees are due and payable as specified in the service agreement - All fees are exclusive of applicable taxes, which are your responsibility - Late payments may incur interest charges and collection costs - Refund policies and guarantee periods as specified in service agreements - We may suspend services for non-payment We reserve the right to change our fee structure, pricing and payment terms with reasonable notice to existing clients. Continued use after fee changes constitutes acceptance. All payments are processed securely through third-party payment providers. We do not store complete payment card information. Fees paid are generally non-refundable except as specified in service agreements or required by law.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO: - IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT - WARRANTIES REGARDING ACCURACY, RELIABILITY, COMPLETENESS OR AVAILABILITY OF THE SERVICES - WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE FROM VIRUSES - WARRANTIES REGARDING THE QUALITY, ACCURACY OR SUITABILITY OF JOBS, CANDIDATES OR INFORMATION WE DO NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS THAT: - You will find employment or candidates through our Services - The information provided by users is accurate, complete, truthful or reliable - Candidates or employers will fulfill their obligations or expectations - Job placements will be successful or satisfactory - Our Services will meet your requirements or expectations - Any defects or errors will be corrected You acknowledge that: - You use our Services entirely at your own risk and discretion - We are an intermediary and not responsible for the actions of candidates or employers - You are responsible for evaluating the suitability of opportunities and candidates - Employment decisions and relationships are solely between candidates and employers - We do not conduct comprehensive background checks unless specifically agreed Nothing in these Terms affects your statutory rights as a consumer where applicable.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLATINUM & PARTNERS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES. WE SHALL NOT BE LIABLE FOR ANY: - LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITIES OR GOODWILL - LOSS OF DATA, INFORMATION OR CONTENT - BUSINESS INTERRUPTION OR LOSS OF USE - EMPLOYMENT ISSUES OR WORKPLACE DISPUTES - DECISIONS MADE BY EMPLOYERS OR CANDIDATES - ACTIONS OR OMISSIONS OF THIRD PARTIES INCLUDING USERS - UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT - STATEMENTS OR CONDUCT OF ANY USER OR THIRD PARTY - DAMAGES ARISING FROM RELIANCE ON INFORMATION FROM OUR SERVICES - FAILURE TO SECURE EMPLOYMENT OR SUITABLE CANDIDATES - ANY OTHER MATTER RELATING TO OUR SERVICES OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) £100 (ONE HUNDRED POUNDS STERLING) THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow limitations on certain warranties or damages. In such jurisdictions, some limitations may not apply to you, but shall apply to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend and hold harmless Platinum & Partners, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, contractors and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable legal fees and court costs) arising from or relating to: - Your use or misuse of our Services - Your violation of these Terms or any applicable laws or regulations - Your violation of any rights of third parties including intellectual property, privacy or data protection rights - Your content, information or materials submitted through our Services - Any false, misleading or fraudulent information you provide - Your interactions with other users or third parties through our Services - Employment disputes or issues arising from placements - Any negligent or wrongful conduct by you This indemnification obligation includes defending us against claims, cooperating with our defense and not settling claims without our prior written consent. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense. This indemnification obligation will survive termination of these Terms and your use of our Services.

Upon termination: - Your right to access and use our Services ceases immediately - We may delete your account, content and information without liability - You remain liable for any obligations incurred before termination - Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification and dispute resolution) will remain in effect - Outstanding financial obligations must be fulfilled - We may retain information as required by law or for legitimate business purposes Termination does not affect any rights, obligations or liabilities that accrued before termination. We are not liable for any loss or damage resulting from termination of your access to our Services.

13. Governing Law and Disputes

These Terms and any disputes arising from or relating to our Services are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You agree that any legal action, suit or proceeding arising from or relating to these Terms or our Services must be brought exclusively in the courts of England and Wales. 14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Platinum & Partners regarding our Services and supersede any prior agreements or understandings. Severability: If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Waiver: Our failure or delay in enforcing any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a continuing waiver or waiver of any other term. Assignment: You may not assign, transfer or delegate these Terms or your rights and obligations without our prior written consent. We may freely assign our rights and obligations under these Terms without restriction, including in connection with mergers, acquisitions or sales of assets. Notices: Notices to you may be sent to the email address associated with your account or posted on our website, and are deemed received when sent or posted. Notices to us should be sent to info@platinumandpartners.com. No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights. Headings: Section headings are for convenience only and do not affect interpretation. Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control including natural disasters, war, terrorism, strikes, government actions, pandemics or internet failures. Relationship: Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and us.
